Terms of Use

Welcome to Vesta Platform (hereinafter, "the Platform"). These Terms of Use govern the access and use of the services offered by UniqDigital1 LLC (hereinafter, "We", "the Company", "Vesta Platform", "Platform") through its CRM, which allows users to manage their relationships with customers, contacts and other business processes. By accessing and using the Platform, the user (hereinafter, "the User") agrees to comply with these terms.

1 Acceptance of Terms of Use

By using the Platform, the User accepts and agrees to comply with all provisions of these Terms of Use and any other applicable policy that may be published on the Platform. If you do not agree with these Terms of Use, you must refrain from using the services provided by the Platform.

2 Platform Services

Vesta Platform is a customer relationship management (CRM) tool that offers functions to:

• Store and organize customer and contact information
• Manage interactions, sales and business processes
• Perform analysis and reports of business activities
• Send communications, among other functionalities

Details of the services and specific features of the Platform are available on the Company's website or in the additional terms provided to the User.

3 Usage Requirements

To access and use the Platform's services, the User must meet the following requirements:

• Be at least 18 years of age or have the express consent of a legal guardian to use the Platform if under age
• Provide accurate, truthful and complete information during the registration process and keep it updated
• Use the Platform in accordance with applicable legislation, avoiding illegal, fraudulent activities or activities that infringe the intellectual property rights of the Platform or third parties

4 User Obligations

The User agrees to:

• Maintain the confidentiality of their access credentials (username and password) and not share them with third parties without authorization
• Not use the Platform to store, manage or process personal data in a manner contrary to the General Data Protection Regulation (GDPR)
• Not infringe the intellectual property rights of the Company or third parties, including unauthorized use of any material or content of the Platform
• Not reverse engineer, decompile, disassemble or modify the Platform in any way

5 Personal Data Protection and Privacy

In compliance with the GDPR (Regulation (EU) 2016/679), Vesta Platform is committed to protecting users' personal data. The collection, use and processing of the User's personal data is carried out in accordance with our Privacy Policy.

6 Intellectual Property

All intellectual property rights over the Platform, its design, software, functionalities, databases, graphics, texts, and any other content of the Platform are the property of UniqDigital1 LLC or its licensors. The User does not acquire any intellectual property rights over the Platform, and agrees not to use it beyond the purposes established in these Terms of Use.

7 Limitation of Liability

• Availability and Continuity: We do not guarantee that the Platform will be free of interruptions or failures, although we take measures to ensure its continuous operation. The Company is not responsible for damages or losses arising from interruptions, technical failures or any other problem related to access or use of the Platform.
• Responsibility for Platform Use: The Company is not responsible for the use that the User makes of the Platform, including the inappropriate use of data uploaded to it or the incorrect use of its functionalities.
• Exclusion of Warranties: The Platform's services are provided "as is" and "as available". The Company does not offer express or implied warranties regarding the accuracy, reliability, availability, or performance of the Platform.

8 Modifications to Terms of Use

The Company reserves the right to modify these Terms of Use at any time, in accordance with business or regulatory needs. In case of important changes, we will notify the User by email or by publishing the new terms on the Platform. The modifications will enter into force once published on the Platform, unless otherwise indicated.

9 Account Cancellation and Service Suspension

The Company reserves the right to suspend or cancel the User's access to the Platform in case of breach of these Terms of Use. The cancellation or suspension of the account will be carried out without prejudice to the corresponding legal actions.

10 Applicable Law and Jurisdiction

These Terms of Use shall be governed and interpreted in accordance with European Union legislation and, in particular, with the provisions of the GDPR. For any dispute arising from these Terms of Use, the parties shall submit to the competent courts of Albuquerque, New Mexico, United States, waiving any other jurisdiction that may correspond to them.
